This public offer for the provision of funds and other property (hereinafter referred to as the Offer) as a donation by individuals and legal entities (hereinafter referred to as the Donator) is aimed at an unspecified group of persons and is a public offer of the PUBLIC ORGANIZATION "UA.PROTEKT", represented by the director Oleksandr Petrovych Ovsyankin (hereinafter referred to as the Organization), conclude an agreement on the provision of membership fees/donations on the following terms:
1. General provisions
1.1. Contractual relations between the Donator and the Organization are drawn up in the form of a Public Offer Agreement. Clicking on the "PAY" button on the page of the website https://nashi-noshi.org.ua in the corresponding section means that the Donator, regardless of legal status (individual, legal entity), in accordance with current legislation, has accepted the terms of the Public Offer Agreement (acceptance), which are indicated below.1.2. This Agreement is public, i.e. in accordance with Art. 641 of the Civil Code of Ukraine, its conditions are the same for all Donators.1.3. This Agreement enters into force from the moment of clicking on the "PAY" button, by which the Donator gives his consent to make a donation.1.4. To regulate contractual legal relations under the Agreement, the Parties choose and, if necessary, apply Ukrainian legislation. If the international treaty, the binding consent of which was given by the Verkhovna Rada of Ukraine, establishes different rules than those established by Ukrainian legislation, then the rules of the international treaty are applied.
2. Concepts and definitions used in the Agreement
2.1. TERMS AND DEFINITIONS:
"Public Offer Agreement" is a public contract, a sample of which is posted on the website https://nashi-noshi.org.ua, addressed to an unspecified circle of people and containing the Organization's offer to make a donation."Acceptance" means the Donator's acceptance of the Organization's offer to make a donation by paying it to the Organization's current account."Donation" is a free transfer of funds by the Donator to the ownership of the Organization for further use to achieve the Organization's statutory goals, provided for by the Organization's Charter."Donator" is any legal person with legal capacity, according to current Ukrainian legislation, who has visited the website https://nashi-noshi.org.ua and intends to make a Donation."Organization" – PUBLIC ORGANIZATION "UA.PROTEKT", which is registered and conducts its activities in accordance with the Constitution of Ukraine, the Law of Ukraine "On Public Associations" and other legislative acts, including collecting donations using the Website https:// nashi-noshi.org.ua."Legislation" – norms established by Ukrainian or international legislation for regulating contractual legal relations under the Agreement.
3. Subject of the contract
3.1. The subject of this Agreement is the free and voluntary transfer of funds by the Donator to the ownership of the Organization by making a donation to ensure the statutory activities of the Organization.3.2. The execution of this Agreement by the parties is not aimed at obtaining profit and its distribution or any benefits for any of the parties.
4. Rights and obligations of the Organization
4.1. The Organization is obliged to:-fulfill the terms of this Agreement;-to use the funds paid by the Donator exclusively for the fulfillment of the Organization's statutory purpose and the terms of this Agreement.4.2. The Organization has the right to:-with the consent of the Donator, to change the direction of use of the Donation within the framework of the Organization's statutory activities.
5. Rights and obligations of the Donator
5.1. The Donator is obliged to:-familiarize him/herself with the terms of this Agreement.5.2. The Donor has the right to:-to control the use of the Donation by the Organization for its intended purpose.
6. Term of collection of funds
6.1. The public collection of funds continues until the termination of the Organization's activities (through reorganization or liquidation), unless another term is determined by the Organization's decision, about which the Donator will be notified by placing relevant information on the website: https://nashi-noshi.org.ua.
7. Payment procedure and use of the Donation
7.1. The Donation is used in accordance with the goals defined by the Organization's charter, the Law of Ukraine "On Public Associations" and the Tax Code.7.2. The Donation is voluntary and is not subject to further return to the Donator.7.3. In the case of termination of the https://nashi-noshi.org.ua project, the remainder of the donations will be used to implement other goals of the PO "UA.PROTEKT" defined by the Organization's charter.7.4. The Donator can pay the Donation in the following ways:1) by means of a bank transfer of money to the Organization's current account specified in the account, including using Internet banking.2) Credit card of the following type:VisaVisa ElectronMasterCardMastercard ElectronicMaestro3) in any other way as agreed with the Organization.
8. Responsibility of the parties and resolution of disputes
8.1. The organization is responsible for violating the terms of this Agreement and using Donations contrary to the procedure established by this Agreement, in accordance with the current legislation of Ukraine.8.2. All disputes, disagreements or claims arising from this Agreement or in connection with it, including those related to its implementation, violation, termination or invalidity, are subject to resolution in the appropriate court in accordance with international and Ukrainian substantive and procedural law.
9. Other conditions
9.1. This Agreement is concluded on the territory of Ukraine and is subject to the material law of Ukraine.9.2. The invalidity of any clause or part of this contract does not lead to the invalidity of the contract as a whole.9.3. All disputes arising between the Parties shall be resolved through negotiations. In case of failure to reach a settlement of the disputed issue, the Parties may apply for a resolution of the dispute to the judicial authorities in accordance with the current legislation.9.4. The Organization has the right to make changes to the text of this Agreement at its own discretion at any time and without prior notification to the Donators. The current version of the Agreement is always available on the Site.9.5. By accepting the Agreement or registering on the website https://nashi-noshi.org.ua (filling in the registration form), the Donator voluntarily gives his consent to the collection and processing of his/her personal data.For the purposes provided for in this Agreement, the Organization has the right to send letters, messages and materials to the Donator's postal address and e-mail, as well as to send sms messages and make calls to the telephone number specified in the application form.9.6. The Donator gives the right to process his/her personal data, including: to place personal data in databases (without additional notification), to carry out lifelong data storage, their accumulation, update, change (if necessary). The Organization undertakes to ensure the protection of data from unauthorized access by third parties, not to distribute or transfer data to any third party (except for cases provided by the Law, including at the request of a competent state body, court order, etc.).9.7. In case of unwillingness to receive the newsletter, the Donator has the right to contact the Organization by writing a statement of refusal to receive news materials, sending it to the postal or e-mail address.
